Chapter01 GENERAL
PROVISIONS

Article 1 [Purpose]

ALAI Korea was established to study legal systems for the protection of cultural heritage and the advancement of culture both domestically and internationally, and to share this knowledge with scholars around the world. Its objectives are as follows.

① Advocacy and promotion of legal principles for the international protection of copyright.
② Improvement and development of national copyright laws through comparative legal research on international copyright legislation.
③ Research on the improvement or expansion of existing copyright treaties, such as the Berne Convention for the Protection of Literary and Artistic Works, the Universal Copyright Convention, and the WIPO Copyright Treaty, as well as the establishment of new international treaties for copyright protection.
④ Research on the creation or revision of new copyrights or neighboring rights through international agreements.⑤ Participation in the research and activities of national or international organizations that pursue common objectives.⑥ Hosting symposia, conferences, and seminars, as well as publishing and distributing materials that contribute to the objectives of the Association.
Article 2 [Name]

The name of the Association shall be ‘대한민국 국제저작권법학회’ in Korean, “The International Literary and Artistic Association of Korea”in English, and its official abbreviation shall be ‘ALAI KOREA’.

Article 3 [Head Office]

The office of the Association shall be located in Seoul.

CHAPTER02 MEMBERS

Article 4 [Composition]

The membership of the Association shall consist of persons engaged in research in copyright and related fields.

Article 5 [Membership]

Individuals or organizations that support the objectives of the Association may become members by submitting the prescribed membership application to the Board of Directors and obtaining its approval.

Article 6 [Membership Fee]

1. Members shall be obligated to pay membership fees in the amount determined by the General Meeting.
2. If a member fails to pay the membership fee for two consecutive years, their full membership status shall be automatically changed to associate membership.

CHAPTER03 OPERATION

Article 7 [President]
1. The Association shall have a President who represents the organization.
2. The President shall be elected from among the full members at the General Meeting and shall serve as the official representative of the Association.
3. The term of the President shall be two years, with the possibility of reappointment.
Article 8 [Directors]
1. The Association shall have at least three directors.
2. Directors shall be elected from among the full members at the General Meeting.
3. The term of office for directors shall be two years, with the possibility of reappointment.
Article 9 [Board of Directors]
1. The Board of Directors shall perform the following duties:
① Agenda to be proposed to the General Meeting
② Execution of resolutions passed by the General Meeting
③ Execution of other Association affairs that do not require a resolution by the General Meeting
2. The President shall convene a regular Board of Directors meeting once a year.
3. The President may convene a special Board of Directors meeting as needed.
4. The President shall serve as the Chairperson of the Board of Directors.
5. Unless otherwise specified, resolutions of the Board of Directors shall be adopted by a majority vote of the directors present. In the event of a tie, the Chairperson shall have the deciding vote.
Article 10 [Secretariat]
1. The Association shall establish a Secretariat to manage its administrative affairs and may appoint a Secretary-General and other staff as necessary.
2. The Secretary-General shall be appointed by the President with the approval of the Board of Directors.
Article 11 [Auditor]
1. The Association may appoint up to two auditors.
2. Auditors shall be elected from among the full members at the General Meeting.
3. Directors may not concurrently serve as auditors.
4. The term of office for auditors shall be two years, with the possibility of reappointment.
5. Auditors shall be responsible for the audit of the accounts and affairs of the Association and shall report any irregularities to the President.

CHAPTER04 GENERAL
MEETING

Article 12 [General Meeting]
1. The General Meeting shall elect the President, Directors, and Auditors.
2. The General Meeting shall decide on important matters concerning the operation of the Association.
3. The President shall convene a regular General Meeting once a year.
4. The President may convene a special General Meeting as needed.
5. The President shall serve as the Chairperson of the General Meeting.
6. Unless otherwise specified, resolutions of the General Meeting shall be adopted by a majority vote of the full members present. In the event of a tie, the President shall have the deciding vote.
Article 13 [Revision]
Any revision of the Statutes shall be adopted by affirmative vote of two-third of the full members present.
